Terms of Service

1. Acceptance of Terms
By accessing or using Conduit Mail (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Conduit Labs LLC, a New York limited liability company ("we," "us," or "our"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Conduit Mail is an AI-powered email client that connects to your existing email accounts (Gmail, Outlook, and other email providers via IMAP/SMTP) and provides features including smart rules, AI-powered search, email summarization, and automated workflows. The Service operates primarily in your browser using a local-first architecture.
3. Beta Status
The Service is currently in beta / early access. This means:
- Features may change, be removed, or break without notice.
- The Service may contain bugs or errors.
- We do not guarantee uptime or availability.
- Data loss may occur, though we take reasonable steps to prevent it.
- The Service is provided free of charge during the beta period.
We appreciate your patience and feedback as we improve the Service. You can report issues to support@conduitmail.app.
4. Eligibility
You must be at least 13 years old to use the Service. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into a binding agreement.
5. Your Account
- You must provide accurate information when creating your account.
- You are responsible for maintaining the security of your account and any activity that occurs under it.
- Each person may have only one account.
- You must notify us immediately if you suspect unauthorized access to your account.
- If you connect an IMAP/SMTP email account, you are responsible for maintaining the security of your app-specific passwords. We encrypt your credentials server-side, but you should revoke app passwords if you believe they have been compromised.
- Accounts are for individual use. You may not share your account credentials or allow others to access your account. Business or team plans may be offered in the future.
6. Your Content
You retain full ownership of your email content and any data you create within the Service (rules, settings, etc.). By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing and improving the Service. This includes:
- Accessing and displaying your email via the Gmail API, Microsoft Graph API, or IMAP protocol.
- Sending email content to our AI provider (Anthropic) when you use AI features.
- Storing your rules, settings, and preferences on our servers.
We will never sell your content or use it for purposes unrelated to providing the Service.
7. AI Features
- AI features are powered by third-party artificial intelligence services (currently Anthropic Claude).
- AI-generated outputs (summaries, draft replies, search results, suggested rules) are provided "as is" and are not guaranteed to be accurate, complete, or appropriate.
- You are solely responsible for reviewing all AI-generated content before sending or acting on it.
- Email content sent to the AI provider for processing is not used for model training and is automatically deleted within 30 days per the provider's data policy.
- We may change AI providers or models at any time to improve the Service.
8. Webhooks & Automations
The Service allows you to configure automation rules that may send email data (such as sender, subject, and AI-generated summaries) to external services via webhooks.
- You are solely responsible for the external services you connect and the data you choose to send to them.
- We do not control, endorse, or assume liability for any third-party service you connect via webhooks.
- You must ensure that your use of webhooks complies with the privacy and terms of the receiving service, as well as any applicable laws.
- We are not responsible for data once it leaves our Service via a webhook you configured.
9. Acceptable Use
You agree not to:
- Use the Service to send spam, phishing emails, or other unsolicited communications.
- Attempt to reverse engineer, decompile, or disassemble the Service.
- Interfere with or disrupt the Service or its infrastructure.
- Access the Service through automated means (bots, scrapers) without our permission.
- Use the Service to violate any applicable law or regulation.
- Attempt to gain unauthorized access to other users' accounts or data.
- Use the Service in any way that could harm minors.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.
11. Third-Party Services
The Service depends on third-party services including Google (Gmail API, Firebase), Microsoft (Graph API), Anthropic (Claude AI), third-party mail servers (via IMAP/SMTP), and Stripe (payment processing, when available). We are not responsible for the availability, accuracy, or policies of these third-party services. Outages or changes to third-party services may affect your ability to use the Service, and such disruptions do not constitute a breach of these Terms.
12. Intellectual Property
The Service, including its design, code, branding, and documentation, is owned by us and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You own your data — we own the Service.
13. Payment Terms
The Service is currently free during the beta period. We may introduce paid plans in the future. If we do:
- We will provide at least 30 days' advance notice before any pricing changes.
- You will not be charged without explicitly opting into a paid plan.
- Payments will be processed by Stripe. Your payment method details (credit card, etc.) are collected and processed directly by Stripe and are not stored on our servers. Stripe's handling of your payment data is governed by the Stripe Privacy Policy.
- If paid plans include automatic renewal, we will: (a) clearly disclose the automatic renewal terms and pricing before you subscribe, (b) obtain your affirmative consent, (c) provide a confirmation containing the renewal terms and cancellation instructions, and (d) provide a simple online cancellation mechanism, in compliance with New York General Business Law § 527-a.
- For annual subscriptions, we will send a renewal reminder 15–45 days before your renewal date.
- Refund policies will be communicated at the time paid plans are introduced.
14. Account Deletion
You may request deletion of your account at any time. Upon request:
- Your account enters a 30-day soft-delete grace period during which you can reactivate it.
- After 30 days, all server-side data (account records, rules, settings, encrypted OAuth tokens, and encrypted IMAP/SMTP credentials) is permanently and irreversibly deleted.
- Local data stored in your browser must be cleared separately through your browser settings.
- We recommend revoking any app-specific passwords you created for IMAP/SMTP accounts after deleting your Conduit Mail account.
- We may retain anonymized, aggregated data that cannot be linked back to you.
15. Termination & Suspension
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to: violation of these Terms, conduct that we believe is harmful to other users or the Service, or extended periods of inactivity.
Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including but not limited to: Sections on Intellectual Property, Limitation of Liability, Disclaimer of Warranties, Indemnification, Dispute Resolution, and Governing Law.
You may terminate your account at any time by requesting account deletion (see Section 14).
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR INTERRUPTION OF SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
17. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We respect intellectual property rights. If you believe that content accessible through the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to:

Your notice must include: (a) identification of the copyrighted work, (b) identification of the infringing material and its location, (c) your contact information, (d) a statement of good-faith belief that the use is unauthorized, and (e) a statement under penalty of perjury that your notice is accurate and that you are authorized to act on behalf of the copyright owner.
19. Indemnification
You agree to indemnify, defend, and hold harmless Conduit Labs LLC and its operator from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
20. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal Resolution: Before filing any formal proceeding, you agree to first contact us at legal@conduitmail.app and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration: If informal resolution fails, any dispute arising from or relating to the Service or these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in New York County, New York (or remotely if permitted by the arbitrator). The arbitrator's decision will be final and enforceable in any court of competent jurisdiction. Each party shall bear its own costs of arbitration; however, if the arbitrator finds that either the substance of your claim or the relief sought is frivolous or brought for an improper purpose, the arbitrator may award costs and fees to the prevailing party.
Class Action Waiver: YOU AND CONDUIT LABS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Exceptions: Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in any court of competent jurisdiction for matters related to intellectual property or unauthorized access to the Service.
30-Day Opt-Out Right: You have the right to opt out of binding arbitration and the class action waiver by sending written notice to legal@conduitmail.app within 30 days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration clause. If you opt out, you and Conduit Labs LLC agree to resolve disputes in the state or federal courts located in New York County, New York.
21. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
22. Changes to Terms
We may update these Terms from time to time. For material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Service.
23. General Provisions
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time.
- Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, or third-party service outages.
- Notices: We may provide notices to you via the email address associated with your account or by posting a notice on the Service. You may provide notices to us at legal@conduitmail.app.
